• Use in software or videos released on DVD or CD ROM (excludes audio-only CDs) in any number (except for any JupiterImages-owned media, which is limited to 10,000 copies per license)

• Use in a live theatrical performance or as part of a concert performance where audience members pay or make donations to attend

• Use as part of a toy or any product available for purchase in a store or online (excludes audio-only CDs and paid downloads)

• Use in a public-voting film contest

• Use in a print advertisement, as decor in a public place, or as part of company letterheads, brochures, and designs

• Use in any way as allowed by License A

* License B requires the completion of a short usage report form (music only) and, in some cases, filing of cue sheets to appropriate agencies. These reporting proceedures are industry-standard and FREE, and can be completed online.
What you CANNOT DO:
• Re-sell or re-license tracks, videos, or photos on their own (includes physical goods and non-tangible items)
• Claim exclusive ownership of a track or digital media file
• Copy tracks and files on CD or other media apart from your multimedia project
• Sell Audio-Only CDs or Audio Downloads using the tracks without synchronization with other media (unless written permission is obtained from the copyright owner or publisher)
• Use images in a way that is defamatory, insulting, or degrading to the model; or that is otherwise libelous or slanderous or otherwise defamatory, obscene or indecent (see section 4)
• You may NOT use a low-res comp for any purpose other than testing, client review, or internal review. Comps may not be broadcast, sold, or otherwise included in any final product (see section 5)



PLEASE READ THIS AGREEMENT CAREFULLY. BY PURCHASING AND DOWNLOADING ANY OF THE CONTENT ("Music" or “Sounds” or "Video" or "Footage" or "Photos" or "Track" or "Content") ON THIS SITE, YOU ("Licensee") HEREBY AGREE TO AND ARE BOUND BY THE TERMS AND CONDITIONS OF THIS END USER AGREEMENT.

Section 1. Overview
Normally, the fees required regarding obtaining permission to use musical works or sounds, video footage, or photographs in film, television, radio and games are very costly. Beyond the usually extreme cost of buying the right to use music and digital content, the very process of obtaining licenses can be daunting. Productiontrax.com has eliminated most of the cost and all of the headaches—allowing you to easily license music and sounds, stock footage, and photos for your project.

There are two license types. You must choose one license that best matches your intended use of the tracks or downloaded media. By selecting a license option and purchasing a track or media file under that license option, you are agreeing to the terms set forth in that license below. Each of the two licenses has a set fee, which has been established by the copyright owner of the sound, music, video, or photo. While the amount of the license fee varies from artist to artist, you will find each fee to be very affordable. If you purchased music or sounds under a previous license, those sounds are governed by the license under which they were purchased, as per section 3.8 of this agreement.

Any performance music our sounds on free television, cable television, internet, or other performance venues under the jurisdiction of ASCAP or BMI or any similar performance rights agency may incur additional fees independent of this Agreement. Please consult with ASCAP, BMI or any other relevant performance rights organizations regarding this if you are planning to release your project in such a fashion. Normally, these fees are paid by the broadcasting network and not you, but please consult with ASCAP, BMI or whatever performance rights organization is relevant to the music or sound you have selected to license. Generally speaking the artists on our site have listed which performance rights organization they belong to.

If your project is broadcast on television, cable or released to theatres, you will need to provide a cue sheet for your project. You can learn more about cue sheets by visiting www.bmi.com, and you can file cue sheets electronically here. If you use a track in an audio-only product that you intend to distribute commercially (eg an audio book or audio CD) that is not synchronized with other media or voiced over, you must also obtain a mechanical license for duplication from Harry Fox, or from the publisher of the work, or written approval from the composer, as well as a master use license from the publisher or composer.


Section 2: License Options
Licensee must select one of the following options. By selecting a license option and purchasing a track under that license option, Licensee agrees to the terms set forth by the chosen option.

License Option A: Non-Commercial, Non-Profit, Educational, or Private Use.

1. Licensee, or their customers, shall have a worldwide, non-exclusive, royalty-free, non-assignable and non-transferable right to use the Music or Sound, Video, or Photo only in synchronization or timed-relation with other audio and/or audio-visual productions ("Projects") for non-profit broadcast and non-broadcast purposes and shall have mechanical reproduction rights in all mediums only in connection with Projects subject to the following restrictions:

a. The Music, Video, or Photo may not be transferred, copied, or duplicated by itself, either in whole or in part, other than in timed-relation with the Projects with the exception that Licensee may make one copy for back-up or archive purposes. Further, the Music, Video, or Photo, apart from the Projects, may not be resold, licensed, leased or in any way distributed to any third party without the express written permission of the copyright owner.

b. Licensee shall not have the right to alter the fundamental character of the Music, to use the title or subtitle of the Music, Video or Photo as the title of a Project, or to add lyrics to the Music without the express written permission of the copyright owner. Licensee may otherwise cut or alter the music to fit the intended use.

c. Use of Video or Photos is subject to further terms and conditions outlined in Section 4 of this agreement.

2. Licensee is hereby granted the perpetual, non-exclusive right and license to publicly perform, for non-profit, non-commercial, private, or educational use only, in accordance with the following restrictions:

a. The project may NOT be sold or distributed in any way (including free copies), shown or played in theaters with paying audiences or in exchange for donations, broadcast on television and radio networks (including national networks, pay-per-view networks, cable, and local networks) or transmitted for profit or donation digitally over the internet or via satellite.

b. All venues or mediums in which a public performance occurs must have valid performance licenses from the governing applicable performing rights societies in the territory of broadcast (e.g., ASCAP, BMI, SESAC, SOCAN, etc.) or from any other licensor acting for or on behalf of the copyright owner of the Music, unless the copyright owner is not a member of a performing rights society.

3. This license is subject to the additional terms outlined in Sections 3 and 4 of this agreement.

License Option B: Commercial, for-profit, distribution, or broadcast, all Packages, and Photos
1. Licensee, or their customers, shall have a worldwide, non-exclusive, royalty-free, non-assignable and non-transferable right to use the Music, Video or Photo only in synchronization or timed-relation with other audio and/or audio-visual productions ("Projects") in all mediums, now known or hereafter devised, and shall have mechanical reproduction rights in all mediums, now known or hereafter devised, only in connection with Projects subject to the following restrictions:

a. The Music, Video or Photo may not be transferred, copied, or duplicated by itself, either in whole or in part, other than in timed-relation with the Projects with the exception that Licensee may make one copy for back-up or archive purposes. Further, the Music, Video or Photo apart from the Projects, may not be resold, licensed, leased or in any way distributed to any third party without the express written permission of the copyright owner.

b. Licensee shall not have the right to alter the fundamental character of the Music, to use the title or subtitle of the Music as the title of a Project, or to add lyrics to the Music without the express written permission of the copyright owner. Licensee may otherwise cut or alter the music to fit the intended use.

c. Release of the Music on any commercially available audio-only product (e.g., compact disc or other phonorecords, audio books, etc) shall require prior written approval by the copyright owner, and may require additional mechanical license fees. Mechanical licenses for duplication of audio-only material may be obtained from Harry Fox or from the publisher of the music.

d. Licensee may use the Photo or Video as design elements in video, film, or television broadcasts; as decor in an office, lobby, public area, restaurant, or retail store; in connection with a business or entity (ie corporate identity documents and letterhead, except as prohibited in Section 4 below.

e. Because of our distribution agreements with JupiterImages, reproduction of projects containing JupiterImages-owned media (including tracks from RoyaltyFreeMusic.com, StudioCutz, and BlueFuse) is limited to 10,000 copies per license purchase.

2. Licensee is hereby granted the perpetual, non-exclusive right and license to publicly perform, for profit or non-profit, and authorize others to perform the Music, Video or Photo in connection with the Projects and assign its rights in connection with the Projects to a third-party subject to the following:

a. Projects may be exhibited by means of television or radio by networks, local stations, pay-television systems or closed-circuits having valid performance licenses from the governing applicable performing rights societies in the territory of broadcast (e.g., ASCAP, BMI, SESAC, SOCAN, etc.) or from any other licensor acting for or on behalf of the copyright owner of the Music, unless the copyright owner is not a member of a performing rights society.

b. It is understood that clearance by performing rights societies in such portion of the territory as is outside of the U.S. will be in accordance with said performing rights societies' customary practices and the payment of their customary fees. (Note: performing license fees are typically paid by the broadcasters and by the Licensees of the Music. If you have any questions, please contact One Light Music.)

c. Licensee agrees to promptly furnish One Light Music with a complete and accurate music cue sheet for any Project that is broadcast on television or distributed theatrically. Such cue sheet shall correctly identify the copyright owner, publisher, song title, and length of use for all Music licensed from ProductionTrax.com.

3. This license is subject to the additional terms outlined in Sections 3 and 4 of this agreement.

4. Sampling / DJ Use. When this license option is available, licensee is hereby granted the perpetual, non-exclusive right and license to use the music or sounds to create derivative works subject to all of the following:

a. The copyright owner has made the music or sound available under this extended option, and your receipt shows this option. Tracks with this option available will show notice on their track information pages on Productiontrax.com. Under no circumstances shall any track not displaying the Sampling / DJ option be used for this purpose; and

b. The derivative work(s) constitute a good-faith partial or recombined usage employing "sampling," "collage," "mash-up," or other comparable artistic technique, whether now known or hereafter devised, that is highly transformative of the original, as appropriate to the medium, genre, and market niche; and

c. Your Derivative Work(s) must only make a partial use of the original Work, or if You choose to use the original Work as a whole, You must either use the Work as an insubstantial portion of Your Derivative Work(s) or transform it into something substantially different from the original Work.


Section 3: Additional Terms Applicable to Both License Options
3.1. ProductionTrax.com represents and warrants that it has the right to license one hundred percent (100%) of the Music, Video or Photo throughout the territory and grant all the rights herein granted to Licensee and that this Agreement does not infringe on any the rights of any third parties.

3.2. The term of this Agreement is for the remainder of the current term of the U.S. Copyright in the Track(s) and all renewal terms thereof.

3.3. This Agreement does not authorize or permit any use of the Music not expressly set forth herein or to make any other use of the Music, Video or Photo not expressly authorized hereunder. One Light Music reserves all rights not expressly granted to Licensee hereunder. All rights granted hereunder are granted on a non-exclusive basis.

3.4. One Light Music’s liability shall in no event exceed the actual license fee paid by Licensee. One Light Music accepts no responsibility for any loss of business or business profits resulting directly or indirectly from the performance of the Music.

3.5. This Agreement shall be governed by and construed under the law and judicial decisions of the State of Arizona applicable to agreements to be wholly performed within said State. Should any paragraph or provision hereof, and the remainder of this Agreement shall be effective as if such void, invalid or inoperative paragraph or provision had not been contained therein.

3.6. This license is binding upon and shall inure to the benefit of the respective successors and/or assigns of the parties hereto.

3.8 Grandfathering of previous license terms. Music and sounds purchased before the effective date of this license will be governed by the license terms under which the music and sounds were originally purchased.

Section 4: Special Provisions for Footage and Photos
4.1 Definitions.
"Comp Usage" is defined as the creation of a temporary test use, rough layout or comprehensive rendering of a proposed work for client review, internal company review or testing. The Image may not be used in any materials distributed or accessibl to the public or in any final product or use, including, without limitation, any online or other distribution system (except you may transmit comps digitally or electronically for their review) and may not be sold or sublicensed alone or as part of any product.

"Image(s)" shall mean animations, clipart, composites, digital footage, digital video, film footage, fonts, graphics, illustrations, images, motion sequences, photographs or any other visual representation regardless of whether the Image(s) are obtained via download from Productiontrax.com, delivered via any storage media that is now know or may become known in the future, or obtained from a Productiontrax.com authorized distributor, together with all accompanying metadata and other material.

"Storage Media" shall mean CD-ROM, digital video disc (DVD), floppy disk, or any other storage device or media now known, or hereafter created.

4.2 Copyright.
The Image(s) are copyrighted and protected under the various laws of the United States, International treaties and other applicable laws. The Image(s) shall remain the sole and exclusive property of their respective copyright owners. Use of the Images is licensed, not sold, pursuant to the terms of this Agreement. Use of the Images without agreeing to these terms, or a breach of these terms, is copyright infringement.

4.3 Permitted Uses. You may, subject to any prohibitions in Section 2 above and in section 4.4 below:
a) Back up, and store, single Images as necessary on a single server for archival, tracking, or asset management purposes only. Any copy or archive you make must include copyright notice pursuant to section 4.5 of this agreement.
b) Use the Images in any electronic or print media, including advertising and editorial use, provided such use in not intended to allow the re-distribution or re-use of the Images.
c) Use the Images on product packaging or in any items for personal use (License A) or resale (License B), including book covers, calendars, consumer merchandise (T-shirts, posers, art, ect.) provided that such use is not intended to allow the re-distribution or re-use of the Images.
d) Modify or alter the Images as necessary for your use, subject to theadditional terms of section 3, and provided that if such modification or alteration constitutes a dirivative work, you do not acquire any copyright ownership or equivalent rights in or to any of the Images or any other property of the copyright owner of the Image, and you shall only use such derivative work in accordance with this Agreement. If requested by the copyright owner, you agree to execute a written assignment of any such rights, including copyrights, at no cost to the copyright owner.
e) Any usage of the Images not outlined above in Section 2 or in section 4.3 must be approved in writing by the copyright owner.

4.4 Prohibited Uses of Images. You may NOT:
a) Sublicense, distribute, transfer, or assign the Images or rights to the Images in or on any media format or device.
b) Reverse engineer, decompile, translate, or disassemble any part of the Images.
c) Copy or reproduce the images apart from the project.
d) Remove any copyright, trademark, or watermark from the Image.
e) Display the image in any digital format or for any digital use at a resolution greater than 1000x1000 pixels, except in editorial or preliminary design work. Doing so will be viewed as an attempt to distribute the Images in violation of this Agreement.
f) Use the Images or any part of the Images as part of a trademark, service mark, or logo. The copyright owners of the Images retain the full rights to the Images, and therefore you cannot establish your own rights.
g) Use the Images to compete with the licensing interests of Productiontrax.com and it's licensors. You may not use the Images to enter, either directly or indirectly, a similar or competing business.
h) Use the Images in a product or service whereby the Images can be used apart from the project.
i) Use the Images in any way that could be considered defamatory, pornographic, libelous, immoral, obscene or fraudulent, or illegal, either by making physical changes to it, in the juxtaposition to accompanying text or images, or otherwise.
j) Without advance written consent from the copyright owner and any model in such Images, use the Images that include people as part of any sensitive subject matters, as determined by the copyright owner. Sensitive subject use pertains to both commercial and editorial uses. Availability of model releases does not grant the right to use Images in any sensitive subject matters. This includes:

(1) the use of Images in pornography;
(2) tobacco ads;
(3) ads for adult entertainment clubs or similar venues, or for escort, dating or similar services;
(4) political endorsements;
(5) uses that are defamatory, or contain otherwise unlawful, offensive or immoral content.

4.5 Additional Terms
a) Productiontrax.com and its licensors reserve the right to not permit use of any images for any reason whatsoever; and to notify licensee that certain Images are no longer available for use. Upon such notification, the license to use such Images shall automatically and immediately terminate.
b) Productiontrax.com and its licensors request the copyright notice "© 2012 {Insert Copyright Owner Name Here}" appear adjacent to the Images or on a credit page.
c) Productiontrax.com and its licensors reserve the right to replace images with an alternative image for any reason. Upon notice of such replacement, the license for the replaced Images immediately, and automatically, terminates for any use of the Images that does not already exist, and this Agreement shall automatically apply to any replacement images. Licensee agrees not to use any replaced Images with future products or services, and shall take all reasonable steps to discontinue use of the replaced Images in existing products or services.

Section 5 - Rules Governing the Usage of Low Res Comp and Image Comp Files
"Comp Usage" is defined as the creation of a temporary test use, rough layout or comprehensive rendering of a proposed work for client review, internal company review or testing. The Music, Sound, Video, or Image may not be used in any materials distributed, broadcast, or otherwise accessible to the public or in any final product or use, including, without limitation, any online or other distribution system (except you may transmit comps digitally or electronically for their review) and may not be sold or sublicensed alone or as part of any product.

IN THE EVENT OF ANY MATERIAL BREACH OF THIS AGREEMENT ALL RIGHTS GRANTED UNDER THIS AGREEMENT SHALL TERMINATE IMMEDIATELY. ANY CONTINUED USE OF THE MUSIC, VIDEO, OR PHOTO BY LICENSEE SHALL CONSTITUTE AN INTENTIONAL INFRINGEMENT OF THE COPYRIGHTS IN AND TO THE CONTENT. THE COPYRIGHT OWNER(S) OF THE CONTENT HEREBY RESERVES ALL THEIR RIGHTS TO LEGAL AND FINANCIAL REMEDIES AND RELIEF.
